These Restaurant Partner Terms & Conditions (“Agreement”) govern the relationship between FoodClap.in (“FoodClap”, “we”, “our”, or “us”) and every restaurant, cloud kitchen, café, bakery, food outlet, or food business (“Restaurant Partner”, “Partner”, “you”, or “your”) that registers and offers products through the FoodClap platform.

By registering as a Restaurant Partner or accepting orders through FoodClap.in, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.


Eligibility

To become a Restaurant Partner, you must:

  • Be legally authorized to operate a food business in India.
  • Hold all required licenses and registrations, including a valid FSSAI License and GST Registration (where applicable).
  • Provide accurate business information and supporting documents.
  • Ensure that all information submitted to FoodClap remains accurate and up to date.

FoodClap reserves the right to verify all submitted information and documents before approving or continuing your account.


Independent Business Relationship

Restaurant Partners operate as independent businesses.

Nothing contained in this Agreement creates any employer-employee relationship, partnership, joint venture, franchise, or agency between FoodClap and the Restaurant Partner.

The Restaurant Partner remains solely responsible for its business operations.


Restaurant Responsibilities

Restaurant Partners agree to:

  • Prepare food in accordance with applicable food safety and hygiene regulations.
  • Maintain high standards of cleanliness and sanitation.
  • Prepare each order accurately and within the estimated preparation time.
  • Use safe and secure packaging suitable for delivery.
  • Ensure menu prices displayed on FoodClap are accurate.
  • Maintain sufficient stock availability.
  • Immediately update unavailable items through the restaurant dashboard.
  • Cooperate with FoodClap support whenever required.

Menu Management

Restaurant Partners are responsible for:

  • Uploading accurate menu information.
  • Maintaining correct pricing.
  • Updating ingredients, descriptions, and availability.
  • Displaying accurate food images where applicable.
  • Clearly identifying vegetarian, non-vegetarian, vegan, spicy, or allergen-related information whenever possible.

FoodClap reserves the right to remove misleading or inappropriate menu content.


Order Acceptance & Preparation

Restaurant Partners shall:

  • Accept or reject incoming orders promptly.
  • Begin food preparation only after confirming the order.
  • Ensure timely handover to the assigned Delivery Rider.
  • Avoid unnecessary order cancellations.

Repeated delays or cancellations may affect restaurant visibility or account status.


Food Quality & Hygiene

Restaurant Partners are solely responsible for:

  • Food quality.
  • Freshness of ingredients.
  • Taste and preparation.
  • Portion size.
  • Packaging quality.
  • Compliance with FSSAI regulations and all applicable food safety laws.

FoodClap acts solely as an online marketplace and does not prepare, manufacture, or inspect food items.


Pricing

Restaurant Partners are responsible for determining menu prices listed on FoodClap.

Prices should remain fair, transparent, and compliant with applicable laws.

FoodClap reserves the right to discuss pricing inconsistencies that may negatively impact customers or platform integrity.


Payments & Settlement

FoodClap will process customer payments and settle eligible amounts to Restaurant Partners after deducting:

  • Platform commission (where applicable).
  • Payment gateway charges (where applicable).
  • Applicable taxes.
  • Refund adjustments.
  • Other mutually agreed deductions.

Settlement schedules will be communicated separately through the Partner Dashboard or written communication.

Restaurant Partners are responsible for maintaining accurate bank account details.


Taxes

Restaurant Partners are solely responsible for:

  • GST compliance.
  • Income tax obligations.
  • Filing statutory returns.
  • Issuing invoices where required.
  • Compliance with all applicable tax laws.

FoodClap shall not be responsible for any tax liabilities arising from the Restaurant Partner’s business.


Customer Complaints

Restaurant Partners agree to cooperate in resolving customer complaints relating to:

  • Wrong items.
  • Missing items.
  • Poor food quality.
  • Food safety concerns.
  • Incorrect packaging.
  • Delayed preparation.

FoodClap may request explanations or supporting information during complaint investigations.


Refunds & Compensation

Where a verified issue arises due to the Restaurant Partner, FoodClap may:

  • Issue full or partial refunds to customers.
  • Adjust future settlement amounts.
  • Recover compensation where permitted under applicable law or agreement.

Each case will be reviewed individually.


Delivery

Where FoodClap provides delivery services, Restaurant Partners agree to:

  • Hand over sealed packages only.
  • Ensure packaging is secure before dispatch.
  • Verify order details before handing over to the Delivery Rider.
  • Avoid unnecessary delays that may affect delivery times.

Food Safety

Restaurant Partners represent and warrant that:

  • Food is safe for human consumption.
  • Expired ingredients will never be used.
  • Proper storage temperatures are maintained.
  • Employees handling food follow appropriate hygiene practices.
  • Applicable health and safety regulations are continuously followed.

Prohibited Activities

Restaurant Partners must not:

  • Sell prohibited or illegal products.
  • Upload misleading menus or fake images.
  • Manipulate ratings or reviews.
  • Accept fake orders.
  • Engage in fraudulent transactions.
  • Misuse customer information.
  • Circumvent FoodClap’s ordering system for platform-generated customers.

Violation may result in immediate suspension or termination.


Intellectual Property

Restaurant Partners retain ownership of their trademarks, logos, and menu content.

By joining FoodClap, the Restaurant Partner grants FoodClap a non-exclusive, royalty-free license to use restaurant names, logos, menu descriptions, food photographs, and promotional content solely for operating, promoting, and marketing the FoodClap platform.


Customer Data & Privacy

Restaurant Partners shall:

  • Use customer information only for fulfilling orders.
  • Maintain the confidentiality of customer information.
  • Not contact customers for unsolicited marketing without lawful consent.
  • Comply with applicable data protection and privacy laws.

Suspension & Termination

FoodClap reserves the right to suspend or terminate any Restaurant Partner account for reasons including:

  • Submission of false documents.
  • Repeated customer complaints.
  • Food safety violations.
  • Fraudulent activities.
  • Failure to maintain required licenses.
  • Repeated order cancellations.
  • Violation of these Terms.

Termination may occur immediately where necessary to protect customers, public health, or the FoodClap platform.


Limitation of Liability

To the fullest extent permitted by applicable law, FoodClap shall not be liable for:

  • Loss of profits.
  • Business interruption.
  • Loss of goodwill.
  • Indirect or consequential damages.
  • Restaurant operational losses.
  • Regulatory penalties imposed on the Restaurant Partner.

FoodClap’s maximum liability, where applicable, shall not exceed the amount of the disputed transaction.


Indemnification

The Restaurant Partner agrees to indemnify, defend, and hold harmless FoodClap, its owners, directors, employees, affiliates, and service providers from any claims, damages, losses, liabilities, costs, penalties, or legal expenses arising out of:

  • Food quality issues.
  • Food poisoning or contamination.
  • Regulatory violations.
  • Intellectual property infringement.
  • Breach of these Terms.
  • Negligence or misconduct by the Restaurant Partner.

Force Majeure

FoodClap shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including natural disasters, floods, fires, pandemics, strikes, internet outages, government actions, or other force majeure events.


Modifications

FoodClap may revise these Terms & Conditions at any time.

Updated versions will be published on FoodClap.in and will become effective immediately upon publication unless otherwise stated.

Continued use of the platform constitutes acceptance of the revised Terms.


Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in West Bengal, India.


Additional Restaurant Partner Terms

Commission & Settlement

By registering as a Restaurant Partner on FoodClap.in, you acknowledge and agree to FoodClap’s commission structure.

  • FoodClap charges a commission ranging from 5% to 10% on each successfully completed order, depending on the agreed partnership plan, promotional campaigns, or special commercial arrangements.
  • The applicable commission percentage will be communicated to the Restaurant Partner before activation or whenever revised by mutual agreement.
  • Commission, applicable taxes, payment gateway charges (if applicable), refunds, chargebacks, and any other agreed deductions will be adjusted before settlement.
  • Settlement of eligible earnings will be processed within 2–5 business banking days after successful order completion, subject to payment reconciliation and banking schedules.
  • Settlement timelines may be extended due to public holidays, bank processing delays, payment gateway reconciliation, or compliance verification.
  • Restaurant Partners are responsible for maintaining accurate bank account details. FoodClap shall not be liable for delays resulting from incorrect banking information provided by the Restaurant Partner.

Food Preparation Standards

Restaurant Partners agree that every order must be:

  • Freshly prepared only after the order is confirmed.
  • Cooked using fresh, safe, and high-quality ingredients.
  • Served hot and fresh whenever applicable.
  • Prepared within the estimated preparation time displayed on the FoodClap platform.
  • Packed immediately after preparation to maintain freshness and food quality.
  • Never prepared using expired ingredients or food that has already exceeded safe holding times.

Repeated delays in food preparation may negatively affect customer experience and may result in lower restaurant visibility, temporary suspension, or account review.


Hygiene & Food Safety Requirements

Restaurant Partners shall maintain the highest standards of hygiene and food safety at all times.

Restaurants must ensure that:

  • Kitchen staff maintain proper personal hygiene.
  • Food preparation areas remain clean and sanitized.
  • All cooking utensils and equipment are cleaned regularly.
  • Ingredients are stored at safe temperatures.
  • Cross-contamination between vegetarian and non-vegetarian food is prevented where applicable.
  • Food is prepared in accordance with all applicable FSSAI guidelines and food safety regulations.
  • Employees handling food wear clean uniforms, hairnets, gloves, and other protective equipment where required.

FoodClap reserves the right to request photographs, documentation, or conduct compliance reviews where necessary. Serious hygiene violations may result in immediate suspension or permanent removal from the platform.


Packaging Standards

Restaurant Partners must use packaging that is:

  • Strong and leak-proof.
  • Food-grade and safe for direct food contact.
  • Securely sealed to prevent tampering.
  • Suitable for maintaining food temperature during delivery.
  • Appropriate for liquids, curries, beverages, desserts, and other food categories.
  • Environmentally responsible wherever reasonably possible.

FoodClap strongly recommends using tamper-evident packaging for all deliveries.

Restaurant Partners shall be responsible for any customer complaints arising from poor or unsafe packaging.


Service Level Expectations (SLA)

Restaurant Partners are expected to consistently maintain the following service standards:

  • Fast order acceptance.
  • Quick food preparation.
  • Accurate order fulfillment.
  • Fresh and hot food delivery handover.
  • Professional cooperation with Delivery Riders.
  • Minimal order cancellations.
  • High customer satisfaction ratings.

Failure to consistently meet these service standards may result in:

  • Reduced restaurant visibility on FoodClap.
  • Temporary suspension of order acceptance.
  • Financial penalties where contractually agreed.
  • Permanent removal from the FoodClap platform for repeated non-compliance.

Quality Assurance

FoodClap is committed to providing customers with a premium food ordering experience.

Restaurant Partners acknowledge that FoodClap may monitor performance based on:

  • Order acceptance rate.
  • Preparation time.
  • Order cancellation rate.
  • Customer ratings and reviews.
  • Complaint frequency.
  • Food quality.
  • Packaging quality.
  • Hygiene compliance.
  • Delivery readiness.

Where service quality consistently falls below FoodClap’s standards, FoodClap reserves the right to issue warnings, require corrective action, temporarily suspend the account, or permanently terminate the partnership.

Minimum Operating Hours

To ensure a consistent customer experience, Restaurant Partners agree to maintain regular operating hours on the FoodClap platform.

  • Restaurants must keep their FoodClap account online and available for accepting orders during the operating hours declared in their Restaurant Dashboard.
  • Restaurants are responsible for updating their opening hours, temporary closures, holidays, or exceptional operating schedules in advance.
  • Restaurants should avoid frequently switching to “Offline” mode during declared business hours without a valid operational reason.
  • If a restaurant is unable to accept orders due to maintenance, staff shortages, emergencies, or any other reason, it must promptly update its availability status on the FoodClap platform.
  • Repeated unexplained offline periods, prolonged inactivity, or failure to operate during declared business hours may result in reduced visibility on the platform, temporary suspension of order acceptance, or further action as determined by FoodClap.

Penalty & Fraud Policy

FoodClap is committed to maintaining a fair, transparent, and trustworthy marketplace for customers, Restaurant Partners, and Delivery Riders.

Restaurant Partners agree that the following activities constitute a violation of these Terms:

  • Intentionally accepting and then cancelling confirmed orders without a valid reason.
  • Repeatedly rejecting orders without operational justification.
  • Creating or participating in fake, fraudulent, or manipulated orders.
  • Charging customers prices higher than those displayed on the FoodClap platform.
  • Requesting customers to place orders directly with the restaurant instead of through FoodClap in order to avoid platform commission.
  • Asking customers to cancel FoodClap orders and complete the purchase outside the platform.
  • Encouraging customers to pay directly to the restaurant for orders initiated through FoodClap.
  • Manipulating menu prices, availability, ratings, reviews, discounts, or promotional campaigns.
  • Misusing customer personal information for marketing or solicitation outside the FoodClap platform.
  • Providing false information regarding order preparation, availability, or delivery readiness.
  • Any fraudulent, deceptive, or unlawful activity that harms customers, Delivery Riders, FoodClap, or other Restaurant Partners.

Where FoodClap determines, after review, that a Restaurant Partner has violated these Terms, FoodClap reserves the right to take one or more of the following actions:

  • Issue a written warning.
  • Deduct an administrative penalty ranging from ₹30 to ₹100 per verified violation, depending on the nature and severity of the incident.
  • Recover any customer refunds, compensation, chargebacks, or losses arising from the Restaurant Partner’s actions through future settlement adjustments.
  • Temporarily suspend order acceptance or reduce the restaurant’s visibility on the platform.
  • Temporarily suspend the Restaurant Partner account pending investigation.
  • Permanently terminate the Restaurant Partner account in cases of repeated violations, serious misconduct, fraud, food safety risks, or activities that damage the reputation or integrity of FoodClap.

FoodClap may waive or modify penalties where the Restaurant Partner demonstrates that the incident resulted from genuine technical failures, force majeure events, or other reasonable circumstances beyond its control.

The decision of FoodClap regarding enforcement of this Policy shall be final, fair, and based on available evidence, including system records, customer complaints, delivery reports, and communications with the Restaurant Partner.

Restaurant Partners acknowledge and agree that repeated violations of this Policy may lead to permanent removal from the FoodClap platform without any obligation on FoodClap to restore the account.

By continuing to use the FoodClap platform, the Restaurant Partner expressly agrees to comply with this Penalty & Fraud Policy and understands that these measures are necessary to maintain service quality, customer trust, and the integrity of the FoodClap marketplace.

Quality Performance Standards (KPI)

To maintain a high-quality customer experience across the FoodClap platform, every Restaurant Partner agrees to maintain the following minimum operational standards:

  • Order Acceptance Rate: 98% or higher
  • Order Cancellation Rate: 0.5% or lower
  • Average Food Preparation Time: 5–20 minutes, depending on the menu category.
  • Customer Rating: 4.0/5.0 or higher
  • On-Time Order Handover: Orders must be handed over to the assigned Delivery Rider immediately after preparation.
  • Fresh & Hot Food: Every order must be freshly cooked after order confirmation and handed over hot and ready for delivery.
  • Tamper-Proof Packaging: All deliveries must use properly sealed, leak-proof, food-grade, and tamper-evident packaging.
  • Food Hygiene: Restaurants must maintain the highest standards of kitchen cleanliness, staff hygiene, ingredient quality, and food safety at all times.
  • Valid FSSAI License: A valid FSSAI License must always be maintained. Any expiry, suspension, or cancellation of the license must be reported to FoodClap immediately.
  • Menu Accuracy: Menu items, prices, preparation times, and availability must always remain accurate and up to date.
  • Stock Availability: Restaurants must maintain sufficient inventory to minimize customer cancellations due to unavailable items.

Performance Monitoring

FoodClap continuously monitors restaurant performance through platform analytics, customer feedback, complaint records, preparation time, cancellation history, hygiene reports, and delivery performance.

If a Restaurant Partner consistently fails to meet the above standards, FoodClap reserves the right to:

  • Issue written warnings.
  • Require corrective action within a specified period.
  • Reduce restaurant visibility and ranking on the FoodClap platform.
  • Temporarily suspend order acceptance.
  • Deduct administrative penalties where applicable under the Penalty & Fraud Policy.
  • Suspend settlement until investigations are completed (where necessary).
  • Permanently terminate the Restaurant Partner account in cases of repeated non-compliance, serious negligence, fraud, or food safety violations.

FoodClap’s assessment of performance shall be based on platform records, customer complaints, delivery reports, quality audits, and other relevant evidence, and its decision shall be final for operational purposes.

You further confirm that all information and documents provided by you are true, accurate, and complete, and that you will comply with all applicable laws, regulations, and FoodClap policies while using the platform.
